1. Acceptance of Terms

By accessing and using the GoWithND website (gowithnd.com) and our AI and technology services (“Services”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree with any part of these Terms, you must not use our Services.

2. Services Description

GoWithND provides artificial intelligence consulting, custom machine learning model development, natural language processing integration, computer vision solutions, AI-powered automation, MLOps infrastructure, and AI training services. Specific deliverables, timelines, and scope are defined in individual Statements of Work (SOW) or Service Agreements executed between GoWithND and the client.

3. Client Obligations

Clients agree to:

Provide accurate, complete, and timely information necessary for service delivery
Maintain the confidentiality of any account credentials
Ensure they have necessary rights and permissions for any data provided to GoWithND
Comply with all applicable laws, including data protection and privacy regulations
Not use our Services for any unlawful, harmful, or fraudulent purposes

4. Intellectual Property

Our IP: All pre-existing tools, frameworks, methodologies, and software provided by GoWithND remain our intellectual property. This includes our proprietary AI models, code libraries, and development frameworks.
Client IP: All data, content, and materials provided by the client remain the client’s intellectual property.
Developed IP: Custom models and solutions developed specifically for a client are assigned to the client upon full payment, subject to GoWithND’s retained rights in underlying pre-existing components. The specific IP allocation is detailed in each SOW.
Website Content: All content on gowithnd.com, including text, graphics, logos, and blog articles, is the property of GoWithND and protected by Canadian and international copyright laws.

5. Payment Terms

All fees are quoted in Canadian Dollars (CAD) unless otherwise specified
Invoices are payable net 30 days from the date of issue
Late payments accrue interest at 1.5% per month (18% per annum) or the maximum rate permitted by law
GoWithND reserves the right to suspend services for accounts more than 60 days past due
All fees are exclusive of applicable taxes (HST/GST/QST)

6. Confidentiality

Both parties agree to maintain the confidentiality of all non-public information disclosed during the course of the engagement. This includes business plans, technical specifications, data, algorithms, trade secrets, and financial information. Confidentiality obligations survive termination of the agreement for a period of five (5) years.

7. Limitation of Liability

To the maximum extent permitted by law:

GoWithND’s total liability for any claim arising from or relating to our Services is limited to the fees paid by the client in the twelve (12) months preceding the claim
GoWithND is not liable for indirect, consequential, incidental, special, or punitive damages
GoWithND is not liable for losses arising from client’s use of AI outputs without appropriate human review
AI model outputs are provided “as is” and should not be relied upon as professional advice

8. Service Level Agreement (SLA)

For managed service clients, GoWithND commits to:

Uptime: 99.9% availability for hosted AI infrastructure, measured monthly
Response Time: Critical issues acknowledged within 1 hour, non-critical within 4 business hours
Resolution Time: Critical issues resolved within 8 hours, standard issues within 48 business hours
Credits: Service credits for failure to meet SLA thresholds as defined in the Service Agreement

9. Termination

Either party may terminate a Service Agreement:

For convenience, with 30 days written notice (subject to any minimum commitment terms)
For material breach, with 15 days written notice and opportunity to cure
Immediately for insolvency, bankruptcy, or illegal activity

Upon termination, the client must pay all outstanding fees for services rendered. GoWithND will return or destroy client data within 30 days, subject to legal retention requirements.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ontario.

11. Dispute Resolution

Before initiating formal legal proceedings, the parties agree to:

Attempt to resolve the dispute through good-faith negotiation within 30 days
If unresolved, submit to mediation in Toronto, Ontario, with costs shared equally
If mediation fails, either party may pursue remedies in court

12. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, acts of government, pandemics, cyber attacks (where reasonable defenses were in place), internet infrastructure failures, and labor disputes.

13. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via our website and email (for registered clients). Continued use of Services after changes become effective constitutes acceptance of the modified Terms.
